Dissolution of Articles
Includes Secretary of State filing fees!
Overview
File business dissolution documents necessary to end your business in Wyoming. As in most states, companies formed in Wyoming are required to file an Annual Report in order to remain in good standing. Unless the state is notified otherwise, it is assumed that you remain in business and the obligation continues. When Annual Reports are not filed, late fees and penalties can accrue. Dissolving your business with the state will end these obligations.
Registered Agents of Wyoming, LLC will file the necessary state documents to officially dissolve your business and end filing obligations to the state of Wyoming. Once dissolved, the Wyoming Secretary of State public record will show the status of your business entity as "Inactive-Dissolved." Failure to file your annual report will result in administrative dissolution. Once administratively dissolved, the public record will show this as the status of your entity. In order to file formal dissolution articles, your entity must be brought into good standing through reinstatement and then it can be formally dissolved.
Before an administrative dissolution, simply let us know at the time of your annual renewal (or before) and we can file the necassary paperwork for you.
Why is it important to file Dissolution of Articles?
If your company is ceasing operations, filing Dissolution Articles legally ends your company’s existence in the state of Wyoming and terminates your obligation for state filing fees, as well as, registered agent fees.
Companies incorporated or foreign qualified in the state of Wyoming face annual report requirements. Unless the State knows your company is no longer in existence, those obligations will continue. Typically late fees and penalties will continue to accumulate. Dissolving your business with the State will end these obligations and show a good-faith conscious closing of the business on your part.
Key benefits
